These Terms and Conditions (“Terms”) govern your use of vipcontractorservices.com (the “Site”), operated by VIP Contractor Services LLC (“VIP,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site describes the construction cleaning, skilled labor, commercial cleaning, and restoration services VIP provides to builders, general contractors, commercial clients, and homeowners. It is an informational and contact resource.
Nothing on the Site is an offer to perform work, a price quote, or a commitment to provide services. Service descriptions, capabilities, and coverage areas are general and may change without notice.
This is important. These Terms cover your use of the Site only. Any work VIP performs for you is governed by the separate written agreement, master services agreement, subcontract, purchase order, proposal, or work authorization signed by both parties. If anything in these Terms conflicts with a signed services agreement between you and VIP, the signed agreement controls with respect to that work.
Any quote, estimate, or scope of work we provide in response to a Site inquiry is subject to site conditions, verification, scheduling availability, and our written confirmation. A quote is not binding on VIP until we issue it in writing and both parties accept it. Conditions found once work begins, such as hidden water damage or mold behind a wall, can change the scope and the price, and we will tell you in writing before doing work beyond what you approved.
This section applies if you are arranging services for your own home rather than for a business.
Your right to cancel. Ohio’s Home Solicitation Sales Act gives you the right to cancel certain contracts signed at your home until midnight of the third business day after the date of the transaction. Where that law applies, the written notice of your right to cancel, and the cancellation form, are provided with the contract you sign. That notice governs. Nothing on this web page replaces it, shortens it, or waives it.
Access and condition of the property. For us to perform residential work, you need to give us safe access to the areas being serviced and tell us about known hazards, such as asbestos, lead paint, pets, or unstable structures. Please move or secure irreplaceable and high-value items before we arrive.
Insurance claims. On a restoration project, we can work with your insurance carrier if you ask us to. We are not your insurer, we do not decide what your policy covers, and an insurer’s estimate is not a promise by us or by them about what will be paid. You remain responsible for amounts your carrier does not cover unless your signed agreement with us says otherwise.
Your consumer rights. Nothing in these Terms waives or limits any right you have under the Ohio Consumer Sales Practices Act or any other consumer protection law that cannot be waived by agreement. Where any part of these Terms conflicts with such a right, that right controls and the rest of these Terms stay in effect.

The Site and its contents, including text, graphics, logos, photographs, layout, and design, are owned by VIP Contractor Services LLC or its licensors and are protected by copyright, trademark, and other laws. The VIP Contractor Services LLC name and logo are our marks. You may view and print pages for your own evaluation of our services. You may not copy, republish, distribute, modify, or create derivative works from Site content without our prior written permission.
Information you submit through the Site is handled as described in our Privacy Policy. Do not send us confidential, proprietary, or sensitive personal information through the Site’s forms. Any suggestion, idea, or feedback you send us about our services or the Site may be used by us without restriction and without obligation to you.
The Site may link to websites operated by others. We do not control those sites, do not endorse their content, and are not responsible for them. Visiting a linked site is at your own risk.
The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, VIP disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, or error free, or that the content is accurate, complete, or current. This section applies to the Site only. It does not limit or alter any warranty VIP provides in a signed services agreement, and it does not affect rights a consumer has that cannot be disclaimed by law.
To the fullest extent permitted by law, VIP Contractor Services LLC and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, or lost data, arising out of or related to your use of or inability to use the Site, even if we have been advised of the possibility of such damages. Our total liability arising out of or related to the Site will not exceed one hundred dollars ($100.00).
This section applies to the Site only. It does not limit or alter the liability provisions of a signed services agreement, and it does not apply to the extent the law does not allow these limits, including limits that cannot be enforced against consumers.
If you use the Site in connection with a business, you agree to indemnify and hold harmless VIP Contractor Services LLC and its owners, officers, employees, and agents from any claim, demand, loss, or expense, including reasonable attorneys’ fees, arising out of your use of the Site or your breach of these Terms. This section does not apply to a consumer using the Site for personal, family, or household purposes.
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws rules. Any dispute arising out of or related to the Site or these Terms will be brought in the state or federal courts located in Franklin County, Ohio. If you are a consumer, this section does not deprive you of the protection of any mandatory law of the state where you live, or of any right to bring a claim in a court that law makes available to you.
We may revise these Terms at any time by posting an updated version on this page. The effective date at the top shows when they were last revised. Your continued use of the Site after we post an update means you accept the revised Terms. A change to these Terms does not change a services agreement you have already signed with us.
If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and VIP regarding your use of the Site.
